Key takeaways

  • Sonoco’s 21 October release reports a non-cash goodwill impairment of $829 million, $802.0 million of it on Consumer Packaging’s EMEA/APAC businesses and $26.9 million on Industrial’s APAC business, behind a GAAP net loss of $732 million.
  • Net sales fell 4.2% to $2,042 million, which the release says was essentially flat excluding divestitures, while adjusted EPS fell to $1.67 from $1.92 and adjusted EBITDA to $352 million from $386 million.
  • Consumer Packaging sales fell 2.9% to $1,396 million and segment operating profit 14.6% to $179 million, a 12.8% margin against 14.5%, as the release says adverse weather cut seasonal vegetable harvests and metal can volumes.
  • Sonoco cut 2026 guidance to net sales of $7.20 to 7.40 billion, adjusted EPS of $5.30 to 5.50 and adjusted EBITDA of $1.20 to 1.25 billion, against $7.25 to 7.75 billion, $5.80 to 6.20 and $1.25 to 1.35 billion in its July release.
  • SPI analysis: the new adjusted EPS range implies fourth-quarter adjusted EPS of $0.92 to 1.12, by SPI’s calculation, so food can and paper can buyers should expect Sonoco to keep pressing for cost recovery in 2027 contracts.

Sonoco Products, the US maker of metal food cans, paper cans and industrial paper packaging, reported on 21 October a third-quarter GAAP net loss of $732 million, or $(7.36) a share, after a non-cash goodwill impairment of $829 million.

Its third-quarter earnings release puts $802.0 million of the charge on the Consumer Packaging segment’s EMEA/APAC businesses and $26.9 million on the Industrial Paper Packaging segment’s APAC business. Net sales fell 4.2% to $2,042 million, adjusted EPS fell to $1.67 from $1.92, and Sonoco lowered every line of its 2026 guidance1.

For a buyer of food cans or paper cans, the quarter matters for two reasons. Sonoco says poor harvests cut the volume of metal cans its customers needed, and its new guidance assumes the cost squeeze continues into the fourth quarter. A supplier under margin pressure tends to press harder on price recovery, and Sonoco’s release says recovering raw material, freight and energy costs remains a key priority as it closes 2026.

How Sonoco's two segments reach packaging buyers

Sonoco reports two segments. Consumer Packaging sells to food, snack and household brands, and the release describes metal can volumes in EMEA and the Americas, aerosol and food can volumes, and international paper can operations inside it. Paper cans, also called rigid paper containers, are the spiral-wound tubes used for snacks, nuts, powders and similar dry foods.

Industrial Paper Packaging sells uncoated recycled paperboard (URB), tubes, cores and related products to industrial customers. From 1 January 2026, Industrial Plastics moved into this segment, the release says1. An All Other group held ThermoSafe, the temperature-assured packaging business that Sonoco sold on 3 November 2025, according to its July release2.

The release also refers to the integration of Eviosys, which a reconciliation footnote dates to Sonoco’s acquisition in December 2024. SPI has not yet confirmed from the release how much of the EMEA/APAC goodwill written down in the third quarter arose from that acquisition, because the release does not say.

Sonoco reports its results on a quarter that ended on 27 September 2026, against 28 September 2025 a year earlier. The nine-month view softens the third quarter: Consumer sales were $3,735 million against $3,732 million, while Consumer segment operating profit fell 10.6% to $456 million, a margin of 12.2% against 13.7%1. The weakness was therefore present before the summer harvest, and the third quarter deepened it.

Metal food cans are made largely from tinplate, steel coated with a thin layer of tin. That ties can makers to steel prices and trade measures on both sides of the Atlantic, which Europe’s metal packaging trade body set out in March.

“The steel packaging industry relies on tinplate to provide superior protection for products used daily by European citizens.”

Metal Packaging Europe, statement on EU steel measures, 13 March 2026

The statement argued that EU steel measures must protect downstream industries, and said 82% of steel packaging in Europe is currently recycled4.

What Sonoco reported on 21 October

The charge. Sonoco booked restructuring and asset impairment charges, net, of $856 million in the third quarter against $48 million a year earlier, most of it the goodwill impairment. The release’s footnotes put the total goodwill charge at $828.9 million: $802.0 million for the Consumer Packaging EMEA/APAC reporting unit and $26.9 million for the Global Paper Products APAC reporting unit1. The release text calls the second unit Industrial APAC.

Why it happened. The release does not state what triggered the impairment test or the method used. It ties the quarter’s weaker results to weather, food can demand and costs, in the chief executive’s statement.

“Drought conditions across parts of Europe and the U.S. impacted crop yields and pressured food can demand,”

Sonoco’s CEO, Q3 2026 earnings release, 21 October 2026

The chief executive added in the release that inflation in raw materials, freight, energy and other operating costs exceeded Sonoco’s expectations, and that productivity and cost control offset part of the hit.

The headline numbers. Net sales were $2,042 million against $2,131 million. GAAP net loss attributable to Sonoco was $732 million, or $(7.36) a share, against net income of $123 million, or $1.23. Adjusted net income was $167 million, or $1.67 a share, against $191 million, or $1.92, and adjusted EBITDA fell 9.0% to $352 million from $386 million.

Why sales fell. The All Other line, which held ThermoSafe, contributed $79 million of sales in the third quarter of 2025 and none in 2026. Consumer and Industrial sales together were $2,042 million against $2,052 million, a 0.5% fall by SPI’s calculation, which matches the release’s description of sales as essentially flat excluding divestitures.

Cash. Operating cash flow was $285 million in the quarter. For the nine months it was $218 million against $277 million, after about $103 million of one-time taxes on gains from the 2025 divestitures of TFP and ThermoSafe, the release says1.

Debt. On 25 September Sonoco added $800 million of term loan facilities, drawing $500 million to refinance a term loan due in 2028 and keeping $300 million of delayed-draw capacity for 12 months. Total debt was $4.3 billion and net debt $4.1 billion on 27 September, with liquidity of $1.3 billion.

The guidance cut. The release labelled its outlook as revised full-year 2026 guidance and lowered all four guided lines against the July release. In July, Sonoco maintained adjusted EPS guidance of $5.80 to 6.20 while expecting results toward the low end of that range2. The new top of $5.50 sits $0.30 below the old low end.

Sonoco's third quarter line by line

The segment figures show where the pressure sits. Consumer Packaging net sales fell 2.9% to $1,396 million. The release says adverse weather conditions affected seasonal vegetable harvests in EMEA and the Americas, reducing metal can volumes, and that pricing did not fully offset this or negative currency effects1.

Consumer segment operating profit fell 14.6% to $179 million, a margin of 12.8% against 14.5%, as price/cost headwinds and lower volume/mix outweighed productivity savings. Consumer adjusted EBITDA was $237 million, a 17.0% margin, against $260 million and 18.0% a year earlier. The chief executive put Consumer volume/mix down 3% year on year, while international paper can operations grew volumes at a double-digit rate on snack demand in emerging markets.

Industrial Paper Packaging net sales rose 5.2% to $646 million, mainly on pricing actions to offset rising costs. Segment operating profit fell 6.2% to $88 million, a 13.6% margin against 15.3%, as higher raw material, freight and energy costs outran pricing and productivity. North America URB trade ton sales rose 10% and mill utilisation was 94%, the release says.

Against the second quarter, Industrial held steady. Sonoco’s July release showed Industrial segment operating profit of $89 million on sales of $643 million, and Consumer operating profit of $152 million on sales of $1,242 million2. Consumer’s third-quarter profit of $179 million was above the second quarter’s but $30 million below the prior year’s third quarter.

SPI calculation (what the new guidance leaves for the fourth quarter): Sonoco’s nine-month adjusted EPS was $4.38, so full-year guidance of $5.30 to 5.50 implies fourth-quarter adjusted EPS of $0.92 to 1.12. On the same basis, nine-month adjusted EBITDA of $952 million implies $248 million to $298 million in the fourth quarter, nine-month sales of $5,604 million imply $1,596 million to $1,796 million, and nine-month operating cash flow of $218 million implies $382 million to $432 million.

Industry reaction

“Results in Consumer Packaging fell short of expectations”

Sonoco’s CEO, Q3 2026 earnings release, 21 October 2026

The chief executive linked the shortfall to a 3% fall in Consumer volume/mix, adverse weather and unfavourable price/cost dynamics, and said international paper can operations grew volumes at a double-digit rate1.

“We remain confident in our value-added packaging strategy,”

Sonoco’s CEO, Q3 2026 earnings release, 21 October 2026

The chief executive said Sonoco is taking targeted actions through its Profitability Performance Plan to reduce costs further and improve productivity, and that these efforts should position it better when market conditions improve.

“The Trump Administration must provide immediate, targeted tariff relief for U.S. can manufacturers and food producers,”

Can Manufacturers Institute, President, CMI statement on tariff actions, 3 April 2026

The CMI statement said US aluminium and steel tariff actions keep the cost of making metal cans in America high; Sonoco’s release names raw material inflation but does not quantify a tariff effect3.

Sonoco’s chief financial officer said in the release that the September term loan refinancing extends the company’s maturity profile and adds financial flexibility. SPI has not yet confirmed what management said on the conference call held at 8:00 a.m. Eastern Time on 22 October, or whether any customer or analyst comment changes the picture.

Who gains and who pays after Sonoco's cut

Food brands buying metal cans. These customers bought fewer cans because harvests were poorer, so the immediate pressure is on their own supply of vegetables to pack. Sonoco says pricing did not fully offset lower volume and currency in Consumer, and that cost recovery remains a priority, so can buyers should expect recovery requests to continue.

Snack and dry food brands buying paper cans. International paper can volumes grew at a double-digit rate, the release says, driven by snack demand in emerging markets. This is the part of Consumer that is growing, and Sonoco expects continued growth in international paper cans to support more stable Consumer performance in the fourth quarter1.

Industrial buyers of tubes, cores and URB. Industrial sales rose 5.2% on pricing, and the release says additional URB pricing realised in September positions Sonoco to offset further inflation. Industrial buyers are therefore already paying more, and the fourth-quarter outlook expects continued strong performance on robust North American URB demand.

Sonoco shareholders. The GAAP loss of $7.36 a share is non-cash in its main part, but the operating cash flow guidance midpoint fell by $125 million, by SPI’s calculation. The quarterly dividend is $0.54 a share against $0.53, and dividends paid in the first nine months were $159 million against $156 million.

Vegetable packers and canners. The packers that fill Sonoco’s food cans sit between the harvest and the can. The release links lower metal can volumes directly to smaller seasonal vegetable harvests in EMEA and the Americas, so these customers absorbed the same weather shock, with less crop to pack1.

Sonoco’s lenders. Net debt was $4.1 billion and liquidity $1.3 billion at 27 September. The $500 million term loan due in 2028 has been refinanced, and $300 million of delayed-draw capacity remains for 12 months, the release says.

Competing can makers. Crown Holdings, which reports North American tinplate, food can and aerosol operations in its Other segment, showed Other sales of $398 million against $351 million with income flat at $51 million in its third quarter, as SPI’s Crown story reported10.

Both Sonoco segments earned less and both took goodwill charges, while Crown's North American food and aerosol can sales rose

USD millions as reported; impairments rounded to whole millions (802.0 and 26.9 in the release). Measures differ by row (segment operating profit, net sales, goodwill charge). Do not add up, rank or compare rows. Crown's Other segment is a different perimeter from any Sonoco segment.

The pinch point: harvest volumes against sticky costs

The quarter’s problem is that two forces moved against Sonoco at once. Food can demand depends on harvest size, which Sonoco cannot control, while raw material, freight and energy costs rose faster than its July plan assumed1.

A metal food can plant is built for a seasonal peak. When a vegetable harvest is small, the cans that would have been filled in late summer are not ordered, and a plant’s fixed costs fall on fewer units. That shows in Consumer’s margin falling to 12.8% from 14.5% on a 2.9% sales fall.

The fourth-quarter outlook does not mention harvests or weather. It expects a more balanced performance in aerosol and food can volumes and continued growth in international paper cans, which would need both trends to hold. Sonoco also says recovering raw material, freight, energy and other operating costs remains a key priority.

SPI analysis

The guidance implies a fourth quarter of $0.92 to 1.12 of adjusted EPS, by SPI’s calculation, so Sonoco has left itself little room for a further volume miss. Buyers negotiating 2027 food can and paper can supply should expect cost-recovery clauses to be a central item, and should ask how tinplate, freight and energy pass-through is calculated.

Sonoco’s own cost plan is the other lever. The chief executive said the Profitability Performance Plan targets further cost cuts and productivity, but the release gives no savings figure or timetable for it. SPI has not yet confirmed whether the plan carries a dollar target, which matters for buyers judging how much of the cost gap Sonoco will try to close through price rather than through its own plants.

How Sonoco compares with Crown and Silgan

Three US metal packaging groups have reported or announced material news since 19 October, each in USD but on different bases.

Crown Holdings reported on 19 October that third-quarter net sales rose to $3,711 million from $3,202 million, including $405 million of passed-through material costs, while segment income eased to $484 million from $490 million, as SPI’s Crown story reported from Crown’s filing. Crown’s business is weighted to beverage cans, where it reported global shipment growth above 6%10.

Silgan Holdings and American Industrial Partners announced on 19 October a deal to buy Trivium Packaging at an enterprise value of about $3.4 billion and combine it with Silgan’s metal containers business into Silgan MCC, with $7.3 billion of sales, 60% in North America and 36% in Europe. SPI’s Silgan story reported Silgan’s Metal Containers sales of $3,322.6 million for the twelve months to 30 June 202611.

Scale differs as much as mix. Sonoco’s quarterly net sales of $2,042 million compare with Crown’s $3,711 million for its quarter to 30 September, but Crown’s figure includes beverage cans, transit packaging and passed-through metal costs, and Sonoco’s includes paper cans and industrial paper products. Neither figure isolates food cans, so SPI does not rank the two as food can suppliers.

By SPI’s reading, the three reports point to a food can market where volumes are weather-dependent and costs are high. Crown’s beverage growth carried its quarter, Silgan is building scale in food and aerosol cans, and Sonoco’s food can volumes fell with harvests while its paper cans grew. Silgan’s own third-quarter figures were not out at SPI’s check.

The rules shaping food can and paper can specifications

Sonoco’s release does not discuss regulation, but its food can and paper can customers sell into markets where packaging rules are changing. In the EU, Regulation (EU) 2025/40, the Packaging and Packaging Waste Regulation (PPWR), has applied directly in every Member State since 12 August 2026, tracked as PR-EU-0015.

Since the same date, food-contact packaging may not be placed on the EU market if its PFAS concentration is at or above the PPWR limit values, under PR-EU-002. The tracker record notes the rule mainly touches paper, board and moulded-fibre grades where fluorinated treatments gave grease and water resistance6. Paper can buyers for snacks and powders in Europe should hold supplier declarations per grade.

From 1 January 2030, packaging placed on the EU market is expected to be recyclable and graded A, B or C against design-for-recycling criteria under PR-EU-0107. Composite formats such as paper cans with metal ends and liners face more open questions than single-material cans, and SPI has not yet confirmed how the delegated acts will grade them.

In the US, packaging producers selling into California have registered under SB 54, tracked as PR-US-004, and the record notes a review of the next covered material categories list from 1 January 20278. In Oregon, PR-US-002, producers report supply data to Circular Action Alliance, and fees follow reported weight, so can and paper can data feeds directly into cost9.

SPI analysis

None of these rules changes Sonoco’s reported figures, but they shape the cost and specification of the same packs its customers buy. Track the US rules in the SPI Regulation Tracker for the United States and the EU rules in the tracker for the European Union.

What it means for you

SPI analysis

These points follow from the sources above. They are not investment or legal advice; check with counsel on PPWR and US producer responsibility obligations.

  • Food can buyers: Sonoco says cost recovery remains a priority, and its guidance leaves $0.92 to 1.12 of adjusted EPS for the fourth quarter. Review how tinplate, freight and energy pass-through clauses work before 2027 contract rounds.
  • Paper can buyers: international paper can volumes grew at a double-digit rate, so capacity in that line may tighten first. Ask about lead times, and hold PFAS declarations per grade for any EU-bound food-contact pack under PR-EU-002.
  • Procurement teams: Sonoco’s July range for adjusted EPS of $5.80 to 6.20 is now $5.30 to 5.50. A supplier that has just cut its full-year range has less room to absorb cost, so plan budgets on full pass-through.
  • Packaging engineers: composite paper cans and metal food cans will be graded under PR-EU-010 from 2030. Start mapping ends, liners and coatings by component now.
  • Finance teams: the $829 million impairment is non-cash, but operating cash flow guidance fell to $600 to 650 million. Use Sonoco’s cash and debt figures, not the GAAP loss, when assessing supplier risk.
  • Supplier risk teams: use the SPI Buyers Database to map alternative food can and paper can suppliers, including the merged Silgan MCC once the Trivium deal closes.

FAQ

What were Sonoco's Q3 2026 results?

Sonoco reported net sales of $2,042 million for the quarter to 27 September 2026, down 4.2%, and a GAAP net loss of $732 million, or $(7.36) a share. Adjusted EPS was $1.67 against $1.92, and adjusted EBITDA $352 million against $386 million.

How big was Sonoco's goodwill impairment, and where?

The non-cash goodwill impairment was $829 million. The release puts $802.0 million on the Consumer Packaging segment’s EMEA/APAC businesses and $26.9 million on the Industrial Paper Packaging segment’s APAC business, the Global Paper Products APAC reporting unit.

How much did Sonoco cut its 2026 guidance?

Adjusted EPS guidance fell to $5.30 to 5.50 from $5.80 to 6.20, and adjusted EBITDA to $1.20 to 1.25 billion from $1.25 to 1.35 billion. Net sales guidance is now $7.20 to 7.40 billion and operating cash flow $600 to 650 million.

Why did Sonoco's food can volumes fall?

Sonoco’s chief executive said drought across parts of Europe and the US hurt crop yields and pressured food can demand. The release says adverse weather cut seasonal vegetable harvests in EMEA and the Americas, and Consumer volume/mix fell 3% year on year.

What does it mean for paper can buyers?

International paper can volumes grew at a double-digit rate in the third quarter, the release says, and Sonoco expects continued growth there in the fourth quarter. Buyers in the EU also face PPWR PFAS limits for food-contact packaging, in force since 12 August 2026.
