Silgan and AIP agreed to buy Trivium for $3.4 billion, forming a $7.3 billion metal can and closures group
Silgan will receive about $2.3 billion in cash and keep 60% of Silgan MCC, which targets $225 million of synergies by year three; works council consultation comes next, and closing is expected in mid-2027.
Key takeaways
- Silgan’s 19 October release values Trivium at about $3.4 billion, or 7.1 times its last twelve months’ Adjusted EBITDA, and Silgan’s contributed businesses at $3.8 billion, or 8.1 times.
- Silgan will hold 60% of Silgan MCC and receive about $2.3 billion in cash, and AIP will hold 40% for about $1.0 billion of cash equity, the release says.
- The partners expect synergies of $225 million a year by the end of year three, and at least 15% accretion to Silgan’s adjusted EPS and free cash flow, according to Silgan’s presentation.
- Ardagh Group said it is selling its entire stake of about 42% in Trivium for estimated net cash proceeds of about $90 million, and that Ontario Teachers’ Pension Plan is selling its majority stake.
- SPI analysis: by SPI’s calculation, Trivium’s $478.3 million of Adjusted EBITDA is slightly larger than the $473.2 million Silgan is contributing, on $1.1 billion less in sales.

Silgan Holdings and funds affiliated with American Industrial Partners (AIP) signed agreements on 17 October for the acquisition of Trivium Packaging at an enterprise value of about $3.4 billion, and announced the deal on 19 October.
Trivium will be combined with Silgan’s Metal Containers segment and its food and beverage flat cap closures to form Silgan Metal Containers and Closures (Silgan MCC). Silgan’s announcement says Silgan will keep a 60% controlling interest and receive about $2.3 billion in cash, while AIP takes 40% for about $1.0 billion of cash equity1. The Form 8-K filed the same day sets out the contracts behind those figures, including a put option that has to wait for Dutch works council consultation.
For a board or a buyer, the deal matters because it puts two large suppliers of food cans, aerosol cans and metal closures under one owner on both sides of the Atlantic. Silgan’s investor presentation gives Silgan MCC net sales of $7.3 billion, 60% of them in North America and 36% in Europe, so pet food, human food and personal care brands that buy metal packaging in either region face fewer independent suppliers once the deal closes, at a time when the EU’s packaging regulation and US state producer responsibility laws are adding cost and data duties to the same packs.
How Silgan MCC and Silgan Dispensing Solutions will be built
Silgan’s presentation shows three businesses today: Dispensing and Specialty Closures, Metal Containers, and Custom Containers. The deal splits the group into two platforms. Silgan MCC takes the Metal Containers segment, the food and beverage flat cap closures and all of Trivium. Silgan’s Dispensing and Custom Containers businesses combine into a wholly owned segment called Silgan Dispensing Solutions, which the release says “will operate as a premium specialty packaging platform serving attractive end markets with differentiated products”1.
The investor presentation gives the shape of each platform for the twelve months to 30 June 2026. Silgan MCC has net sales of $7,264.2 million and Adjusted EBITDA of $1,176.5 million including synergies, a 16% margin, with more than 12,000 employees and over 100 plants. Its products are food cans, aluminium and steel aerosol cans, aluminium beverage bottles, food and beverage flat cap closures and metal and plastic closures, sold into pet food, human food, beverage, aerosol and personal care markets.
Cans make up 79% of Silgan MCC sales, closures 12% and aerosols 9%, the presentation shows. By SPI’s calculation from those shares, aerosols account for roughly $650 million of sales and closures for roughly $870 million. Silgan Dispensing Solutions, the smaller platform, has net sales of $2,498.6 million and Adjusted EBITDA of $555.1 million, a 22% margin, from trigger sprayers, pumps, drug delivery and healthcare containers.
What Silgan, AIP and the sellers announced
17 October: contracts signed. Silgan’s Form 8-K gives 17 October 2026 as the date of the earliest event reported. On that day Silgan, a newly formed subsidiary called Silgan Metal Packaging LLC and an AIP-affiliated vehicle, A-VL Holdco, LP, signed a transaction agreement. The newly formed company also granted Trivium’s sellers a put option and signed a debt commitment letter with five banks3.
19 October, 7:00 a.m. EDT: the announcement. Silgan’s release was published on Business Wire and filed with the SEC as Exhibit 99.1. It describes “a $7.3 Billion Diversified Global Metal Packaging Business” and gives Trivium 2025 net sales of about $3 billion, 57 locations worldwide and 7,200 employees. Silgan reports 2025 net sales of about $6.5 billion and 120 manufacturing facilities. The release says Silgan’s board approved the deal unanimously and that Silgan confirmed its third-quarter and full-year 2026 outlook for adjusted earnings per share, without restating the figures.
“At the same time, it establishes two focused packaging platforms, each with distinct strategies and opportunities.” Silgan Holdings, President and Chief Executive Officer, release, 19 October 2026
19 October, 7:05 a.m. ET: the minority seller speaks. Ardagh Group said from Luxembourg that, “as minority joint venture partner”, it had agreed to sell its entire stake of about 42% in Trivium. Its release says the sale follows a decision by Ontario Teachers’ Pension Plan to sell its majority stake in Trivium Packaging B.V., and that Ardagh expects estimated net cash proceeds of about $90 million4.
19 October, 8:00 a.m. ET: the call. Silgan held a conference call and posted a presentation, filed as Exhibit 99.2. It shows Silgan MCC pro forma net debt of $4.6 billion, 4.0 times net leverage on a pro forma basis at 31 December 2025, against 3.4 times for Silgan as a whole and 1.8 times for Silgan Dispensing Solutions.
Synergy phasing. The release puts annual synergies at about $75 million in year one, $150 million in year two and $225 million by the end of year three. The presentation groups them under operations, procurement and SG&A, with shares of 50%, 30% and 20%. SPI has not yet confirmed from the presentation which share belongs to which category.
Governance. Silgan MCC will have a five-person board, three nominated by Silgan and two by AIP. Silgan’s non-executive chairman is to chair the new company and, until a chief executive is named, act as interim chief executive, under a consulting agreement filed with the 8-K.

The terms in the filing
The 8-K turns the headline numbers into contract terms. AIP’s vehicle contributes $1.025 billion in cash for 40% of the Class A voting units of Silgan Metal Packaging LLC. Silgan contributes its metal containers and closures business on a cash-free, debt-free basis for the other 60% and a cash distribution of $2.263 billion, reduced by any new Silgan debt the new company assumes, up to $1.0 billion3.
Trivium’s sellers receive a cash payment of about $327.5 million, subject to adjustments, and the new company assumes about $3.1 billion of Trivium debt, scheduled to be repaid at closing. By SPI’s calculation the two add up to about $3.43 billion, in line with the $3.4 billion enterprise value. The price uses a “locked box” fixed at 31 December 2025, so Trivium’s equity value does not move with trading after that date, apart from permitted payments.
The sellers named in the filing are Ardagh Group Holdings S.à r.l. and Element Holdings II L.P. Ardagh’s release names Ontario Teachers’ Pension Plan as the majority seller. SPI has not yet confirmed from a primary source that Element Holdings II L.P. is the vehicle that holds the Ontario Teachers’ stake.
Financing does not depend on Silgan’s own balance sheet. The banks committed a $4.9 billion senior secured term loan and a $1.0 billion revolving facility, the 8-K says, and Silgan and its subsidiaries outside the new company will not guarantee that debt. Financing is not a condition of closing.
| Term | What the filing says | What it means |
|---|---|---|
| AIP cash contribution | $1.025bn for 40% of Class A voting units | Rounded to about $1.0bn in the release |
| Distribution to Silgan | $2.263bn, less any new Silgan debt assumed, up to $1.0bn | Rounded to about $2.3bn in the release |
| Payment to Trivium sellers | About $327.5m cash, subject to adjustments | Equity value, locked box at 31 Dec 2025 |
| Trivium debt | About $3.1bn assumed, scheduled to be repaid at closing | Refinanced from the new term loan |
| Debt commitment | $4.9bn senior secured term loan and $1.0bn revolving facility | No guarantee from Silgan outside the new company |
| Put option | Exercisable only after works council and Dutch Merger Code processes, within five business days | Outside date nine months after signing |
| Expense reimbursement | Up to $40m if the put expires unexercised after those processes | Paid to the new company by the beneficiaries |
| Termination fees | $40m for an uncured breach or failure to close; $75m if the transaction agreement terminates | Up to $100m damages for a wilful breach |
| Conditions | Antitrust approvals including HSR clearance; concurrent closing of both agreements | Financing is not a condition |
| Outside dates | 14 Oct 2027 (Trivium purchase) and 15 Oct 2027 (transaction agreement) | Extendable to 12 Apr 2028 in set cases |

USD. Summary of filed terms, not the full agreements; some schedules were omitted from the filing. Not legal advice.
The put option is the reason the deal is not yet a signed share purchase. Trivium Packaging B.V. is Dutch, and under the structure in the 8-K the sellers can only exercise the option once works council and Dutch Merger Code processes are complete. If the option expires unexercised after those processes, the sellers’ side reimburses up to $40 million of expenses, which gives the buyers some cover for a deal that fails at that stage.
The partnership agreement also points beyond closing. Silgan may pursue a tax-free spin-off of the new company or of its other businesses, but not within two years of closing without AIP’s consent. AIP can ask Silgan to start a spin-off up to 42 months after closing and on each anniversary after that. If it has made that request, it can then, in a 30-day window after the fourth anniversary of closing, require Silgan to buy 20% to 33.33% of its original units at 8.25 times trailing EBITDA less net debt.
SPI calculation (purchase price): the $327.5 million cash payment plus about $3.1 billion of assumed debt comes to about $3.43 billion, matching the stated $3.4 billion enterprise value. On that basis, by SPI’s calculation, about 90% of the price Silgan MCC pays for Trivium goes to repaying debt rather than to its shareholders.
What Silgan looks like after closing
The presentation sets out a pro forma Silgan with net sales of $9,762.8 million and Adjusted EBITDA of $1,679.6 million for the twelve months to 30 June 2026, a 17% margin, after $52.0 million of corporate costs. By SPI’s calculation, Silgan MCC supplies 74% of those sales and Silgan Dispensing Solutions 26%, although Silgan will own only 60% of the larger platform2.
The two platforms differ on almost every measure. Silgan MCC carries more debt, earns a lower margin and sells mostly in North America. Silgan Dispensing Solutions earns 22% on its sales, carries 1.8 times net leverage and sells 16% of its products outside North America and Europe, against 4% for Silgan MCC.
The presentation also puts Silgan’s historical Adjusted EBITDA at $977.8 million for 2025, a 15% margin, and says Silgan has spent more than $4 billion building its dispensing business since 2017. It describes an intended tax-free spin-off of Silgan MCC, with timing that depends on integration and synergy progress; the 8-K allows one only after two years without AIP’s consent.

USD millions, twelve months to 30 June 2026. Silgan MCC EBITDA includes $225m of expected synergies. Leverage is pro forma at 31 Dec 2025. Total Silgan EBITDA is after $52.0m of corporate costs, so the rows do not add across. Sales shares are SPI calculations.
SPI analysis
The structure lets Silgan take $2.3 billion of cash out of its metal business while keeping control of it, and leaves the higher-margin dispensing business with lower leverage. For metal packaging buyers, the practical point is that Silgan MCC will have its own board, its own debt and, if a spin-off follows, its own listing.
Industry reaction
“This transaction with Silgan and AIP marks the next step in our evolution”
Trivium’s chief executive spoke from a business that the release says has 57 locations, 7,200 employees, over 800 customers and about $3 billion of 2025 net sales; the presentation counts 49 plants.
“We look forward to working with the Silgan and Trivium teams to enhance the combined value proposition for customers.”
AIP is putting in $1.025 billion of cash for 40% of the new company, and the release says AIP manages about $18 billion of assets and has made over 145 platform and add-on acquisitions.
“Trivium’s combination with Silgan creates a highly complementary business.”
Ardagh’s release describes Trivium as a non-core investment and says proceeds of about $90 million are expected to go to reinvestment in the business or debt reduction.
“The Trump Administration must provide immediate, targeted tariff relief for U.S. can manufacturers and food producers.”
The CMI statement predates the deal but sets the US backdrop for food can buyers: it says the US industry makes about 135 billion food, beverage, aerosol and general line cans a year and employs more than 28,000 people in 33 states, Puerto Rico and American Samoa5.
Who gains and who pays
Silgan Holdings. Silgan gets about $2.3 billion of cash at closing to retire debt and keeps control of a business with $7.3 billion of sales. Its presentation forecasts at least 15% accretion to adjusted EPS and to free cash flow, on a cash basis and including full run-rate synergies. In exchange it gives up 40% of its metal containers and closures earnings to AIP, which also has certain priority payments under the partnership agreement.
AIP. The private equity firm commits $1.025 billion for 40% and two board seats. Its liquidity right, open from the fourth anniversary of closing, is priced at 8.25 times trailing EBITDA less net debt, against the 8.1 times at which Silgan’s businesses are valued going in and 7.1 times for Trivium.
Trivium’s owners. Ontario Teachers’ Pension Plan and Ardagh share the $327.5 million cash payment, subject to adjustments. Ardagh puts its own net proceeds at about $90 million for its 42%. SPI has not yet confirmed what Ontario Teachers’ expects to receive, and the two figures are on different bases, so they cannot be scaled up from one another.
Trivium’s lenders. About $3.1 billion of Trivium debt is scheduled to be repaid at closing from the new term loan, the 8-K says.
Food can and aerosol buyers. Pet food, human food and personal care brands that buy from both Silgan and Trivium will deal with one supplier where they had two. Silgan MCC’s sales split 60% North America, 36% Europe and 4% rest of world, so the overlap matters most for buyers in those two regions. Antitrust review, including HSR clearance in the US, is a condition of the Trivium purchase.
Silgan Dispensing Solutions customers. Beauty, healthcare and home care buyers move to a separate, wholly owned segment with $2.5 billion of sales and pro forma leverage of 1.8 times, the presentation shows.

USD. Do not add these figures up: some are cash flows at closing, some are equity values on a locked box basis and some are net of costs. Ardagh's $90m is its own estimate of net proceeds.
SPI analysis
Trivium’s Adjusted EBITDA margin of 16% compares with 10% for Silgan’s Metal Containers and 11% for the whole contributed business, by the presentation’s own figures. The synergy target of $225 million equals 3.1% of combined sales and 23.6% of combined Adjusted EBITDA before synergies, by SPI’s calculation, which is why the 4.8 times post-synergy multiple carries so much of the investment case.
The pinch point: approvals, leverage and metal costs
Three things decide whether the deal delivers what the release promises. The first is timing. The put option cannot be exercised until Dutch works council and Merger Code processes finish, and its own outside date falls nine months after signing, around 17 July 2027 by SPI’s calculation. Antitrust approvals, including HSR clearance, have to arrive before the October 2027 outside dates, or before 12 April 2028 if the extension applies3.
The second is debt. Silgan MCC starts with $4.6 billion of net debt and 4.0 times net leverage on Silgan’s pro forma figures. Year-one synergies of about $75 million are a third of the full target, so most of the deleveraging depends on years two and three.
The third is metal. The CMI’s 3 April 2026 statement asked for “immediate, targeted tariff relief” for can makers and food producers, and Metal Packaging Europe said on 13 March 2026 that “Many European manufacturing industries depend on stable and competitive access to steel inputs.” The same statement says the steel packaging industry relies on tinplate, and neither Silgan’s release nor its presentation quantifies tariff or steel-cost effects on Silgan MCC.
How Europe's and America's packaging rules compare for metal packs
Silgan MCC will sell into two very different rule systems. In the EU, Regulation (EU) 2025/40, the Packaging and Packaging Waste Regulation (PPWR), has applied directly in every Member State since 12 August 2026, tracked as PR-EU-0019. It stages obligations from PFAS limits in food-contact packaging, already in force under PR-EU-002, to recyclability and labelling duties later in the decade.
Under PR-EU-010, packaging placed on the EU market is expected to be recyclable from 1 January 2030, graded A, B or C against design-for-recycling criteria set in delegated acts, with grade B the minimum from 1 January 203810. The record notes that the grades are also linked to the modulation of EPR fees. A harmonised material-composition label follows under PR-EU-003, which the Legislative Observatory dates to 12 August 2028, with the design set by a Commission implementing act still in preparation in October 2026.
Europe’s metal packaging bodies stress recycling rather than new limits. Metal Packaging Europe’s March 2026 statement says “Currently, 82% of steel packaging in Europe is recycled.”7. The PPWR’s 2030 recycled-content targets tracked under PR-EU-004 apply to plastic packaging, not to metal.
In the US, packaging rules are set state by state through extended producer responsibility (EPR), in which brand owners fund recycling through a producer responsibility organisation (PRO). The table shows six states whose packaging EPR laws are in SPI’s tracker. These laws cover packaging generally, so metal cans and closures fall inside them alongside other materials.
| Jurisdiction | Rule | Record | Key date | What it means for metal packaging buyers |
|---|---|---|---|---|
| European Union | PPWR applies | PR-EU-001 | 12 Aug 2026 | One regulation across all Member States |

Dates and figures sit on different legal bases and measurement methods. EU targets, US state duties and trade body recycling figures are not comparable and must not be added, averaged or ranked. Not legal advice; check with counsel.
The US aluminium industry body frames the market as a question of domestic supply. The Aluminum Association’s 1 October 2026 release says recycled aluminium accounts for about 85% of US aluminium production and that the US produces less than 20% of the primary aluminium it uses each year8. The CMI’s refund and EPR page, last updated in April 2025, calls refunds and EPR “the foremost tools” for reaching its 70% aluminium beverage can recycling goal for 2030.
SPI analysis
For Silgan MCC, the EU and US systems pull in the same direction: both make recyclability and material data part of what a brand pays for. With 60% of sales in North America and 36% in Europe, the combined company will answer customer data requests under PPWR grades and state EPR fee schedules at once, and for buyers a single supplier may simplify that reporting, or concentrate it.
SPI covered the read-across from can makers’ latest results in Crown Holdings’ third-quarter numbers, where pass-through of metal costs drove most of the sales growth.
What it means for you
SPI analysis
These points follow from the sources above. They are not investment or legal advice; check with counsel on EPR and PPWR obligations.
- Food can buyers: pet food and human food brands that source from both Silgan and Trivium will face one supplier with $7.3 billion of sales once the deal closes, expected mid-2027. Review contract terms, change of control clauses and second-source options before then.
- Aerosol buyers: aerosols are 9% of Silgan MCC sales, roughly $650 million by SPI’s calculation, in aluminium and steel. Personal care brands should ask how plant footprints and lead times change after integration.
- Brand owners under PPWR: recyclability grades from 1 January 2030 and harmonised labels by 12 August 2028 apply to metal packs too. Ask Silgan MCC for design-for-recycling data early; see the EU tracker.
- Brand owners under US EPR: Oregon, Colorado and California duties already apply, and Washington’s market access rule starts 1 March 2029. Material weights from your can supplier feed your fees; see the US tracker.
- Procurement teams: map which of your metal packaging suppliers belong to Silgan, Trivium or Silgan Dispensing Solutions, using the SPI Buyers Database.
- Finance and investors: read the at least 15% EPS accretion alongside 4.0 times net leverage at Silgan MCC and a synergy ramp from $75 million to $225 million.
